1. Confidential Information

You acknowledge that all deal information, financial data, business plans, company profiles, investment terms, and other materials shared through the CapitalOS platform ("Confidential Information") are proprietary and strictly confidential.

2. Non-Disclosure Obligation

You agree not to disclose, share, copy, reproduce, or transmit Confidential Information to any third party without prior written consent from CapitalOS (Pty) Ltd. This includes sharing with colleagues, advisors, or other investors not explicitly authorised by CapitalOS.

3. Restricted Use

You may use Confidential Information solely for the purpose of evaluating investment opportunities presented through this platform. You may not use it to directly or indirectly compete with companies whose information you access, solicit business from those companies outside this platform, or for any purpose other than deal evaluation.

4. Standard of Care

You agree to protect Confidential Information with at least the same degree of care you use to protect your own confidential information, but no less than reasonable care.

5. Return or Destruction

If you decide not to proceed with an investment, you will promptly destroy or return all Confidential Information and any copies or derivatives upon request from CapitalOS.

6. Duration

These confidentiality obligations remain in effect for 3 (three) years from the date you accept this agreement.

7. FAIS Disclaimer

CapitalOS facilitates connections between capital seekers and investors. Deal information shared through this platform is for informational and evaluation purposes only and does not constitute financial advice, a solicitation to invest, or an offer to buy or sell any security. Please consult a qualified financial advisor before making any investment decisions. CapitalOS accepts no liability for investment decisions made based on information presented on this platform.

8. Governing Law

This agreement is governed by the laws of the Republic of South Africa. Any disputes arising from this agreement shall be subject to the jurisdiction of South African courts.

9. Entire Agreement

This agreement constitutes the entire agreement between you and CapitalOS with respect to the confidentiality of information accessed through this platform and supersedes all prior discussions on this matter.
